COMPTIA MENTORING PROGRAM AGREEMENT
TERMS AND CONDITIONS

1. Purpose.  This CompTIA Mentoring Program Agreement (hereinafter “Agreement”) is made and entered into by and between The Computing Technology Industry Association, Inc. (“CompTIA”) and the party accepting this Agreement (either a Mentor or Mentee, as those terms are defined herein).  CompTIA is a non-profit trade association with the purpose of advancing global interests of IT professionals and companies.  One means by which CompTIA accomplishes this purpose is by providing experienced IT professionals (“Mentor”) and individuals who are new to the IT industry (“Mentee”) with the opportunity to connect in mentor/mentee relationships.  CompTIA serves to connect Mentors and Mentees through various channels, including, but not limited to, on-line based connection programs (collectively, “Mentorship Opportunities”).  In consideration for having the opportunity to participate in the Mentorship Opportunities, Mentor and Mentee agree to abide by the terms and conditions set forth in this Agreement.
2. CompTIA’s Role. Mentor and Mentee understand that CompTIA’s sole role and obligation in the Mentorship Opportunities is to provide a conduit (e.g., online connection service) through which Mentor and Mentee may meet.  CompTIA shall have no obligation to actively introduce Mentor and Mentee to one another, provide the terms of the relationship between Mentor and Mentee, or undertake any other function that is beyond the scope of simply providing a conduit for Mentor and Mentee to meet.
3. Voluntary Participation. Mentor and Mentee are voluntarily participating in the Mentorship Opportunities and have not been promised anything of value in exchange for participation.  Mentor and Mentee have not offered anything of value to CompTIA in exchange for the opportunity to participate in the Mentorship Opportunities, except for the Mentor’s or Mentee’s willingness to participate in the Mentorship Opportunities.
4. No Solicitation. Mentor and Mentee understand and agree that participation in the Mentorship Opportunities is not intended for solicitation purposes.  Mentor will not request and Mentee will not offer payment for any advice rendered by Mentor.
5. No Agency.  Participation in the Mentorship Opportunities does not, and shall not be deemed to, constitute a partnership or joint venture between CompTIA and Mentor or Mentee, and no party nor any of their respective directors, officers, employees or agents shall, by virtue of the performance of their obligations under this Agreement, be deemed to be an agent or employee of the other. 
6. No Warranty  CompTIA makes no warranty as to the accuracy and veracity of the advice and statements provided by Mentor.  Additionally, CompTIA makes to warranty as to the accuracy or veracity of any information provided by Mentor or Mentee to CompTIA as part of its participation in the Mentorship Opportunities.  Mentor and Mentee understand that during participation in the Mentorship Opportunities, any advice or statements that Mentor provides in the course of the mentoring relationship is solely that of the Mentor and not of CompTIA.  Any advice or statements that Mentor provides during participation in the Mentorship Opportunities should not be relied upon by Mentee as a substitute for Mentee’s own independent judgment or professional opinions.  Mentee shall not rely on Mentor’s advice or statements as legal advice.
7. Misconduct. CompTIA reserves the right to terminate Mentor and/or Mentee’s participation in the Mentorship Opportunities in the event that CompTIA discovers any professional misconduct on the part of Mentor or Mentee.  In the event that Mentor or Mentee discovers that the other party is partaking in any professional misconduct, the Mentor or Mentee shall immediately notify CompTIA of such professional misconduct. 
8. No Liability/Indemnification.  Mentor and Mentee hereby agree that in no event will either party file suit or otherwise attempt to hold liable for damages, CompTIA its affiliates, and their respective directors, officers, employees and agents (the “CompTIA Indemnitees”) as a result of Mentor or Mentee’s participation in the Mentorship Opportunities. Mentor and Mentee agree to indemnify and hold harmless the CompTIA Indemnitees from any and all claims, suits, actions or proceedings of any kind arising out of, or in connection with participation in the Mentorship Opportunities.
9. Termination by CompTIA.  CompTIA may terminate this Agreement at any time for any reason by providing notice to the Mentor or Mentee.  Additionally, CompTIA may terminate the Mentorship Opportunities at any time for any reason.  If CompTIA terminates the Mentorship Opportunities, this Agreement shall terminate as of the termination date of the Mentorship Opportunities.
10. Termination by Mentor/Mentee.  Mentor or Mentee may terminate this Agreement and its participation in the Mentorship Opportunities immediately by providing written notice to CompTIA and to its mentor or mentee. 
11. Governing Law. This Agreement shall be subject to and governed by the laws of the State of Illinois, without regard to its choice of law provisions. The state and federal courts of the State of Illinois have exclusive jurisdiction over this Agreement, and all parties specifically waive any claims they may have which involve jurisdiction or venue, including but not limited to forum non conveniens.
12. Effective Date. This Agreement shall become effective as of the date that the Mentor or Mentee clicks on the button to indicate its acceptance of these terms and conditions.
13. Complete Agreement.  This Agreement is the entire agreement between the parties regarding the subject matter hereof, and supersedes all prior and contemporaneous oral and written understandings and agreements pertaining thereto.  No amendment hereto shall be effective unless in writing and executed by the parties’ authorized representatives.
